1. Scope of Engagement
Mattez Ventures Limited operates as an international procurement, quality assurance, and export coordination agency. When a buyer accepts an official Pro-Forma Invoice (PI) or Procurement Contract, these terms constitute a binding commercial agreement between the parties.
2. Factory Quotations & Pricing Validity
All ex-factory quotations from Turkish manufacturers are pegged in USD or EUR as stated in the pro-forma invoice. Because industrial raw material prices (such as steel, timber, aluminum, and polymers) fluctuate, official quotes remain valid for 14 calendar days from issuance unless otherwise specified.
3. Payment Terms & Milestone Structure
- Production Commencement Deposit: Custom manufactured orders require an advance deposit (standard 30% to 50%) before raw materials are allocated and factory tooling begins.
- Inspection & Balance Payment: The remaining balance is payable upon physical inspection sign-off and video verification at the Turkish factory, prior to container stuffing and export dispatch.
- Escrow / LC Facilities: For verified commercial contracts exceeding $50,000 USD, structured Irrevocable Letters of Credit (LC) and milestone escrow mechanisms are available.
4. Physical Quality Audits & Inspection Sign-Off
Every production batch undergoes thorough pre-shipment quality inspection by Mattez technical engineers in Turkey. A comprehensive PDF Inspection Dossier (with high-resolution photography, dimensional checks, finish verification, and packaging strength tests) is delivered to the buyer for formal approval before container dispatch.
5. Shipping, Incoterms & Marine Insurance
Standard shipments are executed under FOB (Free On Board, Turkish Ports) or CIF (Cost, Insurance, and Freight, Destination Ports including Lagos Apapa, Tin Can, Tema, Mombasa). Marine all-risk cargo insurance is mandatory on all full container loads (FCL) and consolidated LCL cargo managed under CIF terms.
6. Force Majeure & Dispute Resolution
Commercial disputes arising from technical interpretations shall be resolved through good-faith mediation coordinated via our Istanbul legal counsel and the International Chamber of Commerce (ICC) arbitration rules.
